This study investigated the impact of corporate board characteristics, specifically board diversity, size, meetings, specialized committees and financial expertise on bank’s financial performance, measured through return on assets (ROA) and return on equity (ROE). A quantitative analysis was conducted utilizing a correlation matrix based on a sample size of 79 corporate observations (N = 79). The empirical results reveal distinct pathways through which governance structures influence financial outcomes. Board diversity exhibits a significant positive correlation with ROA (r = 0.261, p < 0.05), indicating that varied perspectives enhance operational asset utilization. Conversely, board meeting frequency is significantly and positively correlated with ROE (r = 0.303, p < 0.01), suggesting that active board engagement directly drives shareholder returns. A strong positive correlation was found between board size and diversity (r = 0.689, p < 0.01), though larger boards are significantly associated with reduced meeting frequencies (r = -0.264, p < 0.05). Paradoxically, director financial knowledge and education duration display a significant negative relationship with ROA (r = -0.252, p < 0.05), highlighting potential operational rigidities or risk aversion associated with over-specialization. It was recommended that banks must strategically balance board expansion to capture diversity while preventing communication friction and declining meeting frequencies. Furthermore, governance policies should focus on boosting board activity to protect investor equity and carefully calibrate financial expertise to maintain operational agility.
